According to the definitive agreements, Sintana will acquire its 5% indirect participating interest in Block KON-16 by purchasing shares in Corcel KON-16 Limited, which holds an 85% interest in the block. In addition to the equity stake, Sintana gains a net profit interest of 2.5% of Corcel’s net proceeds from Block KON-16 after first oil, until cumulative payments reach US$50 million, decreasing to 1.5% thereafter. The agreements also set governance, funding, and transfer protocols for the holding entity post-completion.
US$2.5 Million Acquisition Price with Completion Subject to Angolan and Exchange Approvals
The total acquisition price is US$2.5 million, comprising a US$500,000 initial payment already made to Corcel and a US$2.0 million balance payable upon completion. Completion is contingent upon receiving governmental, regulatory, and third-party approvals, including those mandated in Angola and by AIM and TSX Venture Exchange regulations. Sintana anticipates fulfilling these conditions before the end of 2026 but acknowledges that all closing conditions may not be guaranteed.

Corcel has provided an operational update confirming receipt of final post-stack time migration seismic volumes from recently acquired 2D data, significantly improving imaging and structural clarity across the block. A geomechanical program has been completed, supporting drilling engineering and well design, with NRG appointed for the next phase of engineering. Corcel aims to drill a pre-salt exploration well on Block KON-16 in 2027, subject to technical selection, approvals, financing, rig availability, and partner consensus.
